1. Introduction & Scope

Welcome to CleanWave. These Terms of Service ("Terms") govern your access to and use of CleanWave's website, products, and services, including our Eco Burial Chambers™ and Carbon Offset Trading System (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you are using our Services on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.

CleanWave reserves the right to modify these Terms at any time. We will provide notice of any material changes by posting the updated Terms on our website or through other communications. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

These Terms apply to all visitors, users, and others who access or use our Services, including our website at cleanwave.org and any related applications, platforms, or tools.

2. Service Usage Terms

CleanWave provides environmentally sustainable solutions, including Eco Burial Chambers™ and a Carbon Offset Trading System. Our Services are designed to help reduce environmental impact while providing sustainable revenue opportunities.

2.1 Account Registration

Some of our Services require you to register for an account. When you register, you must provide accurate and complete information and keep this information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

2.2 Service Availability

We strive to ensure that our Services are available 24/7. However, we do not guarantee that our Services will be uninterrupted or error-free. We reserve the right to modify, suspend, or discontinue any part of our Services at any time without prior notice.

2.3 Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to use our Services:

You are responsible for the accuracy of any information you provide when using our Services, including but not limited to information related to carbon offset documentation, eco-cement Environmental Product Declarations (EPDs), and delivery quantity documentation.

3.2 Compliance with Laws

You are responsible for ensuring that your use of our Services complies with all applicable laws, regulations, and industry standards, including those related to environmental protection, carbon trading, and cemetery operations.

3.3 Security

You are responsible for maintaining the security of your account and for all activities that occur under your account. You agree to notify CleanWave immediately of any unauthorized use of your account or any other breach of security.

3.4 Prohibited Activities

You agree not to engage in any of the following prohibited activities:

  • Impersonating another person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity
  • Interfering with or disrupting the Services or servers or networks connected to the Services
  • Attempting to reverse engineer, decompile, or disassemble any portion of our Services
  • Using our Services for any fraudulent or illegal purpose
  • Harvesting or collecting user information without their consent

4. Intellectual Property Rights

CleanWave and its licensors own all intellectual property rights in our Services, including but not limited to our website, products, technologies, processes, and content.

4.1 Trademarks

The CleanWave name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of CleanWave or its affiliates or licensors. You may not use such marks without the prior written permission of CleanWave.

4.2 Copyright

All content included on our website and in our Services, such as text, graphics, logos, images, audio clips, digital downloads, data compilations, and software, is the property of CleanWave or its content suppliers and is protected by international copyright laws.

4.3 Patents

Our Eco Burial Chambers™ and related technologies may be protected by patents or pending patent applications. You may not reproduce, modify, create derivative works from, display, perform, distribute, sell, license, or exploit any of our patented technologies without our prior written consent.

4.4 User Content

By submitting, posting, or displaying content on or through our Services ("User Content"), you grant CleanWave a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in connection with providing and promoting our Services.

You represent and warrant that you own or have the necessary rights to all User Content you submit and that such User Content does not infringe upon the intellectual property rights or other rights of any third party.

CleanWave is committed to protecting your privacy. Our Privacy Policy, which is incorporated into these Terms by reference, explains how we collect, use, and disclose information about you when you use our Services.

5.1 Data Collection

We collect information about you when you use our Services, including personal information (such as your name, email address, and organization), usage data, and information provided by you when using our Carbon Offset Trading System or requesting information about our Eco Burial Chambers™.

5.3 Data Sharing

By providing a payment method, you represent that you are authorized to use the payment method and authorize us to charge your payment method for all Services you purchase.

6.3 Financing Options

For our Eco Burial Chambers™, we offer financing options, including lease-to-own and revenue-share arrangements. The specific terms of these financing options will be outlined in a separate agreement between you and CleanWave.

6.4 Carbon Offset Trading Fees

For our Carbon Offset Trading System, we may charge fees for verifying and generating carbon offsets, as well as for facilitating the trading of these offsets. These fees will be clearly disclosed before you engage in any transaction.

6.5 Taxes

All prices are exclusive of applicable taxes unless otherwise stated. You are responsible for paying all taxes, duties, and similar charges associated with your purchase of our Services.

6.6 Refunds

Our refund policy varies depending on the Service. For Eco Burial Chambers™, refunds may be available within a specified period after installation, subject to inspection and approval. For the Carbon Offset Trading System, refunds for trading fees may be available in certain circumstances, such as if a trade is not completed due to system error. Please contact us for specific refund information related to your purchase.

7. Limitation of Liability

This section outlines the limitations on CleanWave's liability for damages arising from your use of our Services.

7.1 Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT OUR SERVICES OR THE SERVER THAT MAKES THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

7.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL CLEANWAVE, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, OUR SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

7.3 Cap on Liability

IN NO EVENT WILL CLEANWAVE'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO CLEANWAVE FOR THE SERVICES IN THE PAST SIX (6) MONTHS, OR £100 IF YOU HAVE NOT PURCHASED ANY SERVICES.

7.4 Exclusions

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IN SUCH CASES, OUR LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

7.5 Indemnification

You agree to defend, indemnify, and hold harmless CleanWave, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

8. Termination Conditions

This section outlines the conditions under which your access to our Services may be terminated and the consequences of such termination.

8.1 Termination by CleanWave

CleanWave may terminate or suspend your access to all or part of our Services, including your account, without prior notice or liability, for any reason, including, without limitation, if you breach these Terms.

8.2 Termination by You

You may terminate your account at any time by contacting us using the information provided in Section 10. If you have a contract for specific Services, such as Eco Burial Chambers™, termination of your account does not automatically terminate that contract, and you may still be obligated to fulfill the terms of that contract.

8.3 Effect of Termination

Upon termination of your account:

  • Your right to use our Services will immediately cease
  • We may delete or archive your account information and User Content
  • Any outstanding payment obligations you have to CleanWave will become immediately due and payable
  • Any rights or licenses granted to you under these Terms will terminate

8.4 Survival

The provisions of these Terms that by their nature should survive termination will survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

9. Dispute Resolution

This section outlines how disputes between you and CleanWave will be resolved.

9.1 Governing Law

These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the United Kingdom, without giving effect to any choice or conflict of law provision or rule.

9.2 Informal Dispute Resolution

Before filing a claim against CleanWave, you agree to try to resolve the dispute informally by contacting us using the information provided in Section 10. We will try to resolve the dispute by contacting you via email. If a dispute is not resolved within 30 days of submission, you or CleanWave may bring a formal proceeding.

9.3 Formal Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms, including the validity, invalidity, breach, or termination thereof, shall be settled by arbitration in accordance with the Rules of Arbitration of the International Chamber of Commerce by one or more arbitrators appointed in accordance with the said Rules. The seat of the arbitration shall be London, United Kingdom. The language of the arbitration shall be English.

9.4 Class Action Waiver

YOU AND CLEANWAVE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

9.5 Limitation on Time to File Claims

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES, OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.
